By accessing or using the website vyuha.digital or engaging VYUHA Digital ("VYUHA", "we", "us") for any services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

VYUHA provides digital marketing and growth services including but not limited to:

• Performance marketing and paid media management
• Funnel optimisation and conversion rate optimisation
• Omnichannel marketing strategy
• Marketing automation and AI-powered solutions
• Web development and landing page design
• Tracking, measurement, and analytics

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties.

paymentsPayment Terms

Unless otherwise agreed in writing:

• Invoices are due within 7 days of issuance
• Late payments may incur a 1.5% monthly interest charge
• Services may be paused or terminated for accounts overdue by more than 14 days
• All fees are exclusive of applicable taxes (GST, VAT, etc.) unless stated otherwise

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely information, access, and approvals
• Ensure all content and materials you provide do not infringe third-party rights
• Maintain compliance with applicable advertising platform policies
• Designate a point of contact for ongoing communication

copyrightIntellectual Property

All strategies, reports, creative assets, and deliverables produced by VYUHA remain our intellectual property until full payment is received, after which ownership transfers to the client as specified in the service agreement.

All website content, branding, and materials on vyuha.digital — including text, graphics, logos, and design — are the exclusive property of VYUHA and may not be reproduced without written permission.

lockConfidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including business strategies, client data, pricing, and proprietary processes. This obligation survives termination of the agreement.

trending_downLimitation of Liability

VYUHA's liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of revenue, profit, or data
• Delays or failures caused by third-party platforms (Google, Meta, etc.)
• Results not guaranteed due to market conditions outside our control

cancelTermination

Either party may terminate a service engagement with 30 days' written notice. Upon termination:

• All outstanding invoices become immediately due
• We will deliver all completed work to date
• Access to shared accounts and platforms will be revoked within 7 days
• Confidentiality obligations remain in effect

blockProhibited Use

You may not use our website or services to:

• Engage in any unlawful, fraudulent, or deceptive activity
• Distribute spam, malware, or harmful content
• Violate any applicable laws or third-party platform policies
• Attempt to gain unauthorised access to our systems

publicGoverning Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Mangalore, Karnataka, India.

updateChanges to Terms

We reserve the right to modify these Terms at any time. Updated terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the new terms.
